Clear from the start
We buy as principal. Not as a brokerage.
These terms explain the limits of this website, how submissions are handled, and the direct-buyer basis on which we approach a potential acquisition.
SellMyHighrise.ca is a private real estate acquisition brand. We pursue acquisitions for our own account and with private capital partners. We do not act as a real estate brokerage or charge sellers a brokerage commission.
1. Direct principal-buyer disclosure
SellMyHighrise.ca acquires real property for its own account and with private capital partners. When we engage with a property owner, we do so as a principal buyer or prospective principal buyer, not as a listing agent, buyer’s agent, broker, or intermediary for a commission.
We do not hold ourselves out as a licensed brokerage or provide brokerage, agency, or property-management services through this website. If you want independent representation in a sale, you are encouraged to retain your own licensed brokerage and legal counsel. We can communicate with your representative where appropriate.
Any transaction would require separate written agreements, satisfactory diligence, and applicable approvals. Nothing on this website creates a client, agency, fiduciary, brokerage, partnership, joint venture, or employment relationship.
2. Website information is general
Content on this website is provided for general informational purposes. It may change without notice. While we try to keep the site accurate and current, we do not guarantee that every statement, availability, criterion, or description is complete, accurate, or current.
We may update, suspend, or discontinue any part of the website at any time. Links to third-party websites, if any, are provided for convenience only. We are not responsible for third-party content or privacy practices.
3. Property submissions
By submitting a property through this website, you represent and warrant that:
- you are the owner of the property or an authorized representative with authority to share the information and documents provided;
- the information is accurate to the best of your knowledge and is not misleading in any material way;
- you have the right to disclose the information and any personal information contained in it, or have obtained the necessary consents or lawful basis;
- the submission and any upload do not violate a law or a duty owed to another person;
- you have reviewed and accepted the Mutual NDA and the Privacy Policy; and
- you are at least the age of majority in your jurisdiction.
We may decline to review, retain, or respond to any submission at our discretion, including where the submission appears incomplete, unlawful, spam-like, malicious, or outside our acquisition focus. We are not obligated to make an offer, negotiate, or respond to every inquiry.
Submission of a property does not create an exclusive arrangement, listing, agency relationship, or obligation to sell to us. You remain free to speak with other parties, subject to any existing contractual obligations.
4. Existing listings and representation agreements
If the property is subject to a listing agreement, buyer-representation agreement, exclusive sale arrangement, or other brokerage or contractual relationship, you are solely responsible for understanding and complying with that agreement. We do not ask or encourage any seller to breach an existing agreement or avoid a lawful commission obligation.
Where a seller is represented, we expect communication to be coordinated appropriately with the seller’s representative. Any commission or fee payable to a third-party brokerage or advisor is a matter between the seller and that third party. We do not pay or receive a brokerage commission through this website.
5. No offer, valuation, or transaction commitment
Nothing on this website is an offer to buy any particular property, a solicitation of an offer to sell, a commitment to provide financing, or an offer to sell securities. Any indicative range, investment criterion, or statement of interest is non-binding and subject to further review.
We do not provide property valuations, appraisals, tax advice, legal advice, investment advice, or brokerage opinions through this website. Any information about valuation must be confirmed independently by appropriate professionals. You should obtain independent legal, tax, accounting, financial, environmental, and technical advice before entering into any transaction.
Any acquisition, if pursued, would be documented in a separate written agreement. Only a definitive agreement signed by authorized parties can create binding obligations, and it would govern in the event of any conflict with this website.
6. Uploaded documents and acceptable use
Do not upload malware, executable code, or content that is unlawful, abusive, misleading, or infringes another person’s rights. You may only upload documents that you are authorized to share for the purpose of evaluating a real estate transaction.
You retain ownership of your documents and information. You grant us a limited, non-exclusive right to receive, store, review, copy, and share your submission internally and with authorized advisers and transaction participants as described in our Privacy Policy, solely for evaluating and advancing the potential transaction or meeting legal obligations. This limited right ends when the material is deleted, subject to legal retention and archival backups.
We may validate file type and size and may reject any upload. Uploaded files are stored outside the public website directory and are not made available for public download. We cannot guarantee that a document is free from malicious code; please use reputable security software.
7. Privacy
Our collection, use, disclosure, retention, and security practices for personal information are described in the Privacy Policy, which forms part of these terms. The Mutual NDA contains additional confidentiality obligations for information exchanged in connection with a potential acquisition.
By using the website, you acknowledge that internet communications and storage involve some risk and that no method is completely secure. Please do not send information that is unnecessary or particularly sensitive unless we have agreed on an appropriate method.
8. Website content and intellectual property
The website design, text, graphics, logos, and other original content are owned by or licensed to SellMyHighrise.ca and are protected by applicable intellectual property laws. You may view and use the website for your personal, non-commercial purpose. You may not copy, modify, scrape, republish, distribute, or use the content to create a competing service without our prior written permission, except where permitted by law.
You may print or save the NDA or legal pages for your records. Names, logos, and third-party images remain the property of their respective owners.
9. Disclaimers and limitation of liability
The website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
To the fullest extent permitted by law, SellMyHighrise.ca and its principals, affiliates, representatives, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost opportunities, loss of data, or business interruption, arising from or related to the website, a submission, reliance on its content, or the inability to use the website.
To the fullest extent permitted by law, our aggregate liability for direct damages arising from or related to the website or these terms will not exceed one hundred Canadian dollars (CAD $100). Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or intentional misconduct.
You agree to indemnify and hold harmless SellMyHighrise.ca and its principals and representatives from claims, losses, liabilities, and reasonable expenses arising from your breach of these terms, your violation of law, or your submission of information or documents you were not authorized to disclose, except to the extent caused by our own unlawful conduct.
10. Governing law and general provisions
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws rules. Subject to any mandatory consumer protection laws, the courts located in Ontario have exclusive jurisdiction over disputes arising from these terms or the website.
If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. You may not assign your rights or obligations under these terms without our prior written consent. We may update these terms; the revised version will be posted with a new effective date. Continued use of the website after a change means you accept the updated terms.
These terms and the policies they reference constitute the entire agreement between you and us regarding use of the website and supersede prior website-related discussions on that subject. They do not supersede a separate signed property transaction agreement.
